Soccer 5 Broward - RELEASE AND WAIVER OF LIABILITY, ASSUMPTION OF RISK AND INDEMNITY AGREEMENT

1. IN CONSIDERATION of being permitted to participate in any U.S. Soccer 5, LLC, a Florida Limited Liability Company (hereinafter referred to as “U.S. Soccer 5”) activity, which includes my or my minor child’s voluntary participation in organized soccer, I and/or my minor child, our personal representatives, assigns, heirs and next of kin hereby agree as set forth herein:

2. I/WE ACKNOWLEDGE, agree and represent that I and/or my minor child understand the nature of U.S. Soccer 5 and that I and/or my minor child are qualified, in good health, and in proper physical condition to participate in such activity, I further agree that if at any time I believe conditions or equipment to be unsafe, I and/or my minor child will immediately discontinue further participation in the activity;

3. I/WE FULLY UNDERSTAND THAT: (A) U.S. SOCCER 5 ACTIVITIES INVOLVE RISKS AND DANGERS OF SERIOUS BODILY INJURY, INCLUDING PERMANENT DISABILITY, PARALYSIS AND DEATH (“RISKS”); (B) THESE RISKS AND DANGERS MAY BE CAUSED BY ME AND/OR MY CHILD’S OWN ACTIONS, OR INACTIONS, THE ACTIONS OR INACTIONS OF OTHERS PARTICIPATING IN THE ACTIVITY, THE CONDITION IN WHICH THE ACTIVITY TAKES PLACE, OR THE ACTS OR THE NEGLIGENCE OF THE “RELEASEES” AS THAT TERM IS DEFINED IN PARAGRAPH 5 BELOW; (C) THERE MAY BE OTHER RISKS AND SOCIAL AND ECONOMIC LOSSES EITHER NOT KNOWN TO ME OR NOT READILY FORESEEABLE AT THIS TIME; AND (D) I FULLY ACCEPT AND ASSUME ALL SUCH RISKS AND RESPONSIBILITY FOR LOSSES, COSTS AND DAMAGES I AND/OR MY MINOR CHILD INCUR AS A RESULT OF MY OR MY MINOR CHILD’S PARTICIPATION IN THE ACTIVITY;

4. I/WE HEREBY ACCEPT AND ASSUME ALL SUCH RISKS, KNOWN AND UNKNOWN, AND ASSUME ALL RESPONSIBILITY FOR THE LOSSES, COSTS, AND/OR DAMAGES FOLLOWING SUCH INJURY, DISABILITY, PARALYSIS, OR DEATH, EVEN IF CAUSED, IN WHOLE OR IN PART BY THE NEGLIGENCE OF THE “RELEASEES” AS THAT TERM IS DEFINED IN PARAGRAPH 5 BELOW;

I/WE HEREBY release, discharge, and covenant not to sue U.S. Soccer 5, LLC, their respective member teams and leagues, their administrators, directors, agents, officers, volunteers, team members and employees, other participants, any sponsors, advertisers, and if applicable, owners and lessors of premises upon which the activity takes place, and other agents, estates, executors or personal representatives (each considered one of the “RELEASEES” herein) from all liability, claims, demands, losses, or damages on my account caused or alleged to be caused in whole or in part by the negligence or acts or inactions of the RELEASEES or otherwise, including negligent rescue operations; and I further agree that if, despite this Release and Waiver of Liability, Assumption of Risk and Indemnity Agreement, I and/or my minor child, or anyone on my and/or my minor child’s behalf, makes a claim against any of the RELEASEES, I/WE will indemnify, save and hold harmless each of the RELEASEES from litigation expenses, attorney’s fees, loss, liability, damage or costs which any RELEASEES may incur as the result of such claim.

6. I/WE FURTHER agree that I am the organizer/captain of a team or group of participants/players ("Captain") and that, as Captain, I am responsible for organizing the game(s) or event(s) of a U.S. Soccer 5 activity on behalf of myself and such team or group of participants/players. As Captain, I/WE further agree that it is my/our obligation to ensure that all such other participants/players that are participating with me in any U.S. Soccer 5 activity fully execute a Release and Waiver of Liability, Assumption of Risk and Indemnity Agreement prior to participating in any U.S. Soccer 5 activity. In the event that all other participants/players that are participating with me in any U.S. Soccer 5 activity do not fully execute a Release and Waiver of Liability, Assumption of Risk and Indemnity Agreement prior to participating in any U.S. Soccer 5 activity or that some or all of such releases are invalid, I will indemnify, save and hold harmless each of the RELEASEES from all claims arising out of the participation in U.S. Soccer 5 activity by such other participants/players who do not fully execute a Release and Waiver of Liability, Assumption of Risk and Indemnity Agreement prior to participating in any U.S. Soccer 5 activity, including litigation expenses, attorney’s fees, loss, liability, damage or costs which any RELEASEES may incur as the result of such claim.

7. I/WE FURTHER agree to follow the rules of conduct and play set by U.S. Soccer 5 and acknowledge that failure to do so may result in suspension from participation.

8. CONSENT: the undersigned parent or guardian/participant does hereby grant authority to the staff of U.S. Soccer 5 to render a judgment concerning medical assistance or hospital care in the event of an accident or illness during my absence.

9. I/WE HAVE read this Release and Waiver of Liability, Assumption of Risk and Indemnity Agreement, fully understand its terms, understand that I and/or my minor child have given up substantial rights by signing it, and have signed it freely and without any inducement or assurance of any nature and intend it to be a complete and unconditional release of all liability to the greatest extent allowed by law and agree that if any portion of this Agreement is held to be invalid, the remaining portions thereof shall continue in full force and effect.

10. I/WE DO HEREBY authorize U.S. Soccer 5 and its agents or assigns to utilize any and all photographs, pictures or other likeness of me or anyone assigned guardianship to me, as they deem appropriate in its promotional materials or team films.

11. I/WE DO HEREBY WAIVE ALL RIGHTS TO ANY TRIAL BY JURY IN ALL LITIGATION RELATING TO OR ARISING OUT OF THIS RELEASE AND WAIVER OF LIABILITY, ASSUMPTION OF RISK AND INDEMNITY AGREEMENT.

12. By signing this agreement, I acknowledge the contagious nature of COVID-19 and voluntarily assume the risk that I, my child(ren) and I may be exposed to or infected by COVID-19 by attending the Miami Dade County Park where Soccer 5 operates and that such exposure or infection may result in personal injury, illness, permanent disability, and death. I understand that the risk of becoming exposed to or infected by COVID-19 at may result from the actions, omissions, or negligence of myself and others, including, but not limited to, Soccer 5 and Miami Dade County Parks employees, volunteers, and program participants and their families.

I voluntarily agree to assume all of the foregoing risks and accept sole responsibility for any injury to my child(ren) or myself (including, but not limited to, personal injury, disability, and death), illness, damage, loss, claim, liability, or expense, of any kind, that I or my child(ren) may experience or incur in connection with mychild(ren)’s attendance at the Soccer 5 location or participation in Soccer 5 programming (“Claims”). On my behalf, and on behalf of my children, I hereby release, covenant not to sue, discharge, and hold harmless Soccer 5 and Miami Dade County Park, its employees, agents, and representatives, of and from the Claims, including all liabilities, claims, actions, damages, costs or expenses of any kind arising out of or relating thereto.

13. I understand and agree that this release includes any Claims based on the actions, omissions, or negligence of Soccer 5 & Miami Dade County Parks, its employees, agents, and representatives, whether a COVID-19 infection occurs before, during, or after participation in any of their programs.

14. This Release and Waiver of Liability, Assumption of Risk and Indemnity Agreement shall remain in full force and effect and may only be terminated upon thirty (30) days written notice by the undersigned to U.S. Soccer 5, LLC via Certified Mail Return Receipt Requested to: U.S. Soccer 5, LLC, c/o Samuel A. Health Responsibility

Release, Discharge, Waiver, Indemnification and Covenant Not To Sue By MAN v FAT Soccer Event Participant (“Release”)

BY SIGNING THIS DOCUMENT YOU MAY BE WAVING CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE.

In consideration of the undersigned participant being provided the opportunity by MAN v FAT and the sponsor, if any, named in the “Event Information” section at the end of this Release (“Sponsor”) to participate in the event described on the last page hereof (the “Event”) and any and all related activities offered as a part of the Event (each, a “Related Activity”, and collectively, the “Related Activities”), and as an inducement and condition precedent to the “Released Parties” (hereinafter defined) permitting the Participant to attend and/or participate in the Event and the Related Activities, Participant hereby voluntarily agrees as follows:

RELEASE FROM LIABILITY, INDEMNIFICATION AND COVENANT NOT TO SUE. Participant hereby releases and discharges MAN v FAT Soccer (Company name, number, address), the Sponsor, and each owner and operator of any venue at which the Event or any Related Activity is conducted, and any other sponsor, promoter or advertiser of the Event or any Related Activity, and each of their respective affiliates, officers, directors, employees, volunteers, partners, owners, and agents (individually, a “Released Party”, and collectively, the “Released Parties”), from, and waives with respect to each and every Released Party, and covenants not to sue any Released Party for, any and all claims, demands, losses, costs, liabilities, damages, and expenses (including, but not limited to, attorneys’ fees and costs through all appeals and other proceedings) of any nature whatsoever (individually, a “Liability”, and collectively, the “Liabilities”) which may in any way actually or allegedly, in whole or in part, arise from, be connected with or relate to Participant’s attendance at and/or participation in the Event or any Related Activity, including, but not be limited to, travel to or from the Event or any Related Activity. The undersigned further agree(s) that if, notwithstanding this Release, the undersigned asserts any Liability or initiates any legal proceedings against any of the Released Parties, the undersigned, on his or her own behalf will indemnify, protect, defend and save harmless each and every of the Released Parties of, from and against any Liabilities which may in any way actually or allegedly, in whole or in part, arise from, be connected with or relate to Participant’s attendance at and/or participation in the Event or any Related Activity, including, but not limited to, travel to or from the Event or any Related Activity. This Release shall be applicable to any and all Liabilities that may be incurred at any time in connection with or as a result of the Participant’s attendance at and /or participation in the Event or any Related Activity, regardless of how any such Liability may have been incurred and whether or not such Liability is based on or the result of the alleged or actual fault or negligence of any third party, including without limitation any of the Released Parties or any other participant in the Event.

ASSUMPTION OF RISK. Participant is aware of and understands the inherent risks and dangers of the Event and the Related Activities and the potential for injury (including, among other things, muscle injuries, heat and stress-related issues, broken bones, permanent disability, paralysis and death, both during and after participation in the Event and the Related Activities) which may be caused by the Participant’s own actions, or inactions, those of others participating in the Event and the Related Activities, the conditions in which the Event and the Related Activities take place, and/or the negligence of the Released Parties, and that there may be other risks either not known to the Participant or not readily foreseeable at this time. Notwithstanding the foregoing and the other provisions of this Release, the Participant fully accepts and assumes all risks of responsibility for personal injury or death to, or damage to or loss of property of, Participant arising from, based upon or relating to participation in the Event and Related Activities. Such assumption of risk includes, but is not limited to, any personal injury or death, or damage to or loss of property, arising from, based upon or relating to the lack of skill of any participant in the Event or Related Activities, or caused in whole or in part by the negligence of any Released Party. Participant understands and agrees that in the event of any injury to Participant at the Event or a Related Activity, Participant authorizes any of the Released Parties at Participant’s expense to use his/her discretion in connection with medical treatment, including being transported to a medical facility, and that none of the Released Parties will be responsible for any decisions relating to medical treatment for Participant or such treatment itself. I acknowledge that it is my obligation to make any necessary inquiries regarding possible risks and hazards from my participation, and regarding my ability, physically or otherwise, to safely participate in the Event.

RIGHT OF PUBLICITY. Participant hereby grants permission to record and utilize Participant’s videotaped or photographed image, likeness and/or voice as well as Participant’s name and any other identification for advertising, publicity, instructional or any other purposes in connection with the Event, the Related Activities or the business of any of the Released Parties, in any medium from time to time without compensation or notice to Participant, and I agree I may not revoke the permission I have granted in this paragraph.

EQUIPMENT. Participant understands that any equipment provided to Participant is being made available to Participant solely by the manufacturer of such equipment, and not by any other person (including, but not limited to, any of the Released Parties) and that the fit, adjustment, and use of such equipment by Participant is solely Participant’s responsibility.

NO OBLIGATION OF RELEASED PARTIES. None of the Released Parties shall have, or be deemed to have, any obligation to Participant hereunder or otherwise in connection with the Event or any Related Activity unless set forth in writing and signed by the Released Party.

INSURANCE POLICY OR COVERAGE. I understand that the Released Parties do not provide any type of insurance for participants. I recognize that it is my responsibility, and not the responsibility of and Released Parties, to secure any insurance policy I feel I may need while participating in the Event. Furthermore, I recognize that it is my responsibility, and not the responsibility of Released Parties, to understand the limits of my major medical health insurance coverage and liability coverage (if any) and to ensure that my policy provides sufficient coverage for my needs and is effective during the Event.

REPRESENTATIONS. Participant acknowledges that Participant has (i) had full opportunity to ask any questions regarding the Event and the Related Activities that Participant may have and fully understands the nature of the Event and the Related Activities, (ii) read and understands this Release, (iii) been given an opportunity to review this Release with anyone Participant chooses, including a lawyer, (iv) understand that Participant has given up substantial rights by signing this Release and (v) has full power, right and authority to sign this Release and has freely and voluntarily signed this Release without any inducement or assurance of any nature, for good and valuable considerations inuring to the undersigned’s benefit and intends for it to be legally binding. Participant represents that Participant (i) is in good physical condition, (ii) is physically able and has the skill level necessary to participate in the Event and any Related Activity in which Participant will be participating, and (iii) is not subject to any mental, emotional, physical or medical problem, condition or disability that would in any way prohibit, inhibit or limit the Participant’s full participation in, or threaten, jeopardize or risk the health of the Participant or any other person in connection
with, the Event and the Related Activities. THE UNDERSIGNED CERTIFIES THAT HE/SHE IS 18 YEARS OF AGE OR OLDER AS OF THE DATE OF EXECUTION OF THIS RELEASE AND THE INFORMATION SET FORTH BELOW IS TRUE, CORRECT AND COMPLETE.

CONSTRUCTION. This Release is meant to be liberally construed to protect the Released Parties to the fullest extent allowed by law.

GOVERNING LAW. THE PARTICIPANT FURTHER ACKNOWLEDGES AND AGREES THAT THIS RELEASE IS GOVERNED AND INTENDED TO BE AS BROAD AND INCLUSIVE AS PERMITTED BY THE LAWS OF THE STATE OF FLORIDA. ANY LEGAL ACTION RELATING TO OR ARISING OUT OF THIS RELEASE SHALL BE COMMENCED EXCLUSIVELY IN STATE COURTS OF PINELLAS COUNTY, FLORIDA, ST. PETERSBURG DIVISION. IF ANY PORTION OF THIS RELEASE IS HELD INVALID, IT IS AGREED THAT THE BALANCE HEREOF SHALL CONTINUE IN FULL FORCE AND EFFECT.
